Late Payments
Late payments may be subject to interest charges of 1.5% per month or the maximum rate permitted by law, whichever is less. Services may be suspended for accounts with overdue payments.
5. Intellectual Property

We retain all rights to our pre-existing intellectual property, including methodologies, processes, software tools, and technical knowledge used in providing services.
Client Intellectual Property
You retain all rights to your pre-existing intellectual property and any materials you provide to us.
Deliverables
Upon full payment, you will own the custom deliverables created specifically for your project, subject to our right to use general knowledge and techniques gained during the project.
Licenses
We grant you a non-exclusive, non-transferable license to use any third-party software or tools included in our services, subject to the terms of the respective third-party licenses.
6. Confidentiality
Confidential Information
Both parties agree to maintain the confidentiality of all non-public information disclosed during the course of business, including:
- Business strategies and plans
- Technical specifications and architectures
- Financial information
- Customer data and lists
- Trade secrets and proprietary information
Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly known or becomes publicly known
- Is received from a third party without restriction
- Is independently developed
- Is required to be disclosed by law

8. Limitation of Liability
Disclaimer of Warranties
Our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Damages
Our total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.
Exclusion of Consequential Damages
We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, business interruption, or data loss.
9. Indemnification
You agree to indemnify, defend, and hold harmless OIUHGB LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses arising out of or relating to:

10. Term and Termination

Termination by Client
You may terminate our services at any time by providing written notice. You will be responsible for payment for all services rendered up to the termination date.
Termination by OIUHGB LLC
We may terminate or suspend services immediately if you:
- Breach these Terms
- Fail to pay fees when due
- Engage in fraudulent or illegal activities
- Violate applicable laws or regulations
Effect of Termination
Upon termination, you must pay all outstanding fees. We will provide you with your data and deliverables upon receipt of final payment.
11. Data Protection and Security
Data Security
We implement appropriate security measures to protect your data, but you acknowledge that no security system is impenetrable.
Data Backup
You are responsible for maintaining regular backups of your critical data. We are not responsible for data loss due to hardware failure, software issues, or other circumstances beyond our control.
Compliance
We will assist you in complying with applicable data protection laws, but ultimate responsibility for compliance remains with you.
12. Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to:
